What your Letrix UI license lets you do: plain English first, the full agreement second.

Build anything you like with Letrix UI: apps, client work, commercial products, unlimited end projects. Don't share the source with unlicensed people, don't publish it, and don't repackage it into anything whose point is giving others our components: kits, templates, themes, starter kits, or website builders. Free-tier components are MIT; everything below applies to the paid components.
A "seat" is a person who accesses licensed source, whether through the docs, the CLI, or your repositories. End users of what you build are never seats. Seats are managed from your dashboard.

This License Agreement ("Agreement") is a binding contract between Letrix Labs, a trading name of Dime Corporation Ltd (Company No. 13175488), registered at 124 City Road, London, EC1V 2NX, United Kingdom ("Letrix UI", "we", "us"), and the person or entity purchasing a Letrix UI license ("you"). You accept this Agreement by explicitly confirming the purchase terms in your dashboard; your license does not activate, and no rights are granted, until you do.
"Products" means the paid Letrix UI components, source code, recipes, documentation code and related assets made available under your license. "End Product" means a customized implementation of the Products (a website, application or similar work) that does not allow third parties to access, extract or reuse the Products themselves. "Seat" means one individual who accesses the Products in source form, whether through the documentation, the CLI, or repositories containing them.
Subject to this Agreement and payment in full, we grant you a perpetual, non-exclusive, non-transferable, non-sublicensable, worldwide license for the number of Seats in your tier to use, modify and incorporate the Products into unlimited End Products, commercial or personal. This grant is revocable only as described in section 11.
Developer licenses include one Seat, are personal, and may not be shared, transferred or reassigned. Team licenses include up to ten Seats within one organization; Enterprise licenses include unlimited Seats within one company and its majority-owned subsidiaries. Seats may be assigned to employees or to contractors for as long as they work on your projects, and are assigned and removed through the dashboard. A license may be transferred to a successor of your business (for example on a merger or a sale of substantially all of its assets) with our prior written consent, not to be unreasonably withheld; it may not otherwise be transferred, shared or resold. Sharing license keys, sign-in links or account credentials with anyone who is not an assigned Seat, including participation in any "group buy" or organized sharing arrangement, is a material breach of this Agreement.
Within your Seat count you may: build unlimited End Products for yourself, your organization or your clients; sell or license those End Products to end users; modify, extend, restyle and combine the Products with other work; and maintain internal design systems or component libraries built on the Products for use within your licensed organization only.
You may deliver End Products, including their source code, to clients, and the End Product belongs to you or your client as you agree between you. However, your license does not extend to your client's team: if your client's own developers continue developing with the Products after handoff, the client requires their own license. End users who merely use the delivered product never require a license.
You may not, in original or modified form: (a) sell, sublicense, redistribute, publish or otherwise make the Products available to any third party, including in public or open-source repositories, downloadable assets, or browser-accessible source; (b) use the Products in any UI kit, component library, design system, template, theme, starter kit or comparable resource made available to others, whether free or paid; (c) build a website builder, app builder, or any product whose end users create their own works using the Products or derivatives of them; or (d) create a version of the Products for any other framework or tool and make it available to others.
You may not use the Products to train or fine-tune machine-learning models, or include them in datasets used for training, whether directly or through a third party. Using AI coding assistants in the ordinary course of building your End Products is permitted.
Free-tier components (those published without a license requirement) are licensed separately under the MIT License, and that license governs them wherever the two would conflict. This Agreement governs the paid Products only.
The Products, the Letrix UI name and all associated intellectual property remain the exclusive property of Letrix Labs. You own your End Products, excluding the Products embedded within them. No ownership transfers under this Agreement; you receive only the rights it expressly grants, and all other rights are reserved.
This Agreement is effective from acceptance and continues perpetually unless terminated. We may revoke your license without refund if you materially breach this Agreement (including credential sharing, redistribution, or prohibited use), or automatically upon any refund or chargeback of your purchase, as set out in the purchase terms you accepted at activation. On revocation, your license key stops working, dashboard and documentation access ends, and all rights granted here terminate; End Products already delivered to end users are unaffected.
Letrix UI is a digital product delivered in full on activation. All sales are final; refunds are provided only where required by applicable consumer law, as described in the Terms of Service and the purchase terms you accept at activation.
Your license includes every component and update we ship to your tier for as long as we make updates available. Letrix UI is in active development: we are under no obligation to release particular features or updates, do not guarantee release schedules, support response times or the continued availability of any service, and may modify or discontinue services at any time. Nothing already delivered to you is ever taken away except under section 11.
The Products are provided "as is" and "as available", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Nothing in this Agreement excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded by law. Subject to that, we are not liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or goodwill, and our total liability arising from or related to this Agreement is limited to the amount you paid us in the twelve months preceding the claim.
This Agreement is the entire agreement regarding the Products and supersedes prior discussions. If any provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless mandatory consumer law in your country of residence provides otherwise.
